Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of StartupIntros ("we," "our," or "us") and our website, platform, and services (collectively, the "Services").

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, do not use our Services.

Eligibility

You must be at least 18 years old to use our Services. By using our Services, you represent and warrant that:

  • You are at least 18 years of age
  • You have the legal capacity to enter into these Terms
  • You will use the Services in compliance with all applicable laws
  • You are not prohibited from using our Services under applicable law

User Accounts

Account Creation

To access certain features of our Services, you must create an account. When creating an account:

  • Provide accurate, current, and complete information
  • Maintain and update your information to keep it accurate
  • Maintain the security of your account credentials
  • Notify us immediately of any unauthorized access
  • You are responsible for all activities under your account

Account Types

We offer different account types with varying features and limitations:

  • Pro Accounts: Enhanced features and higher limits
  • Enterprise Accounts: Full features with custom limits

Acceptable Use

You agree to use our Services only for lawful purposes and in accordance with these Terms. You agree NOT to:

  • Infringe upon intellectual property rights of others
  • Upload viruses or malicious code

Content and Intellectual Property

Your Content

You retain ownership of content you upload to our Services ("Your Content"). By uploading Your Content, you grant us:

  • A worldwide, non-exclusive license to use, store, and display Your Content
  • The right to provide Your Content to users you authorize
  • The right to create backups and copies for service operation

Our Content

The Services and all content, features, and functionality are owned by StartupIntros and protected by copyright, trademark, and other intellectual property laws. You may not:

  • Copy, modify, or distribute our content without permission
  • Remove or alter proprietary notices
  • Use our trademarks without written permission

Payment and Billing

Paid Services

Some features require payment. By purchasing a paid subscription:

  • You agree to pay all fees as described at purchase
  • Fees are non-refundable except as required by law
  • We may change fees with 30 days' notice
  • You authorize us to charge your payment method

Subscription Renewal

Subscriptions automatically renew unless cancelled. You may cancel anytime through your account settings. Cancellations take effect at the end of the current billing period.

Data Rooms and Document Sharing

When using our data room features:

  • You are responsible for the content you share
  • You must have rights to share all uploaded documents
  • You control access permissions and sharing settings
  • We track access for analytics and security purposes
  • You agree to comply with applicable securities laws
  • Shared links may be tracked for your benefit

Privacy and Data Protection

Our use of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING:

  • Warranties of merchantability and fitness for a particular purpose
  • Warranties that the Services will be uninterrupted or error-free
  • Warranties regarding the accuracy or completeness of content
  • Warranties that the Services will meet your requirements

Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, STARTUPINTROS SHALL NOT BE LIABLE FOR:

  • Indirect, incidental, special, or consequential damages
  • Loss of profits, data, or goodwill
  • Service interruptions or data loss
  • Third-party conduct or content

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE PAST 12 MONTHS, OR $100 IF YOU HAVEN'T PAID US ANYTHING.

Indemnification

You agree to indemnify and hold harmless StartupIntros from any claims, damages, losses, or expenses (including legal fees) arising from:

  • Your use of the Services
  • Your violation of these Terms
  • Your violation of any rights of another party
  • Your Content

Termination

We may suspend or terminate your access to the Services:

  • If you violate these Terms
  • If we are required to do so by law
  • If we decide to discontinue the Services
  • For any reason with or without notice

You may terminate your account at any time through your account settings. Upon termination, your right to use the Services will immediately cease.

Dispute Resolution

Governing Law

These Terms are governed by the laws of the State of California, without regard to conflict of law principles.

Arbitration

Any disputes arising from these Terms or the Services will be resolved through binding arbitration in San Francisco, California, except that either party may seek injunctive relief in court.

Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by email or through the Services. Your continued use of the Services after changes constitutes acceptance of the modified Terms.

General Provisions

  • Entire Agreement: These Terms constitute the entire agreement between you and StartupIntros
  • Severability: If any provision is found invalid, the remaining provisions continue in effect
  • Waiver: No waiver of any term shall be deemed a continuing waiver
  • Assignment: You may not assign these Terms without our consent
  • Force Majeure: We are not liable for delays due to circumstances beyond our control
